The agreement
These terms govern the Winfield Research website, AI workspace, tools, and prepaid account services operated by Winfield Research Corporation, a Canadian federal corporation ("we", "us", or "our").
By creating an account, using the workspace, or purchasing credits after these terms are presented, you agree to these terms. If you use the service for an organization, you must have authority to bind it. Our Privacy Policy and data-handling guide explain processing practices. Nothing here waives rights or remedies that cannot lawfully be waived.
Account access and approval
You must be at least 18 years old and provide accurate account information. Keep your account and any API credentials secure. You are responsible for activity you authorize through them, subject to applicable law, and should report suspected unauthorized access promptly.
New accounts await administrator approval before they can submit prompts. Registration or payment does not guarantee approval, an approval deadline, or continuing access. We may refuse or revoke access for a breach of these terms, service security, capacity needs, or legal requirements.
Eligible approved identities receive $1 in one-time starter credit when they next visit billing or submit a prompt. The grant is not recurring and cannot be claimed again by creating additional accounts for the same identity. Existing grants already claimed are not retroactively increased or reduced.
Responsible, lawful use
The model is adapted to reduce refusal behavior so users have more room to explore difficult questions and legitimate work. This does not guarantee an answer to every prompt, accuracy, agreement with your assumptions, or suitability for a particular task. A model response is not permission to act unlawfully.
- Comply with applicable law, respect others' rights, and obtain permission for the data, systems, content, and tools you use.
- Do not use the service to commit or facilitate illegal acts, exploit or abuse children, defraud others, unlawfully disclose private information, or plan or carry out violence.
- Do not attack the service or other users, bypass authentication, approval, billing, or technical controls, extract secrets, or disrupt infrastructure.
- Run code and connected tools only within your authority. Review generated actions before using them and do not access another user's material or execution files.
Lawful research, education, creative work, and authorized testing can involve sensitive subjects. These terms are not a representation that every sensitive subject is prohibited, nor a promise that the service has no operational or legal controls.
Your content and tools
You retain any rights you already have in material you submit. You authorize us and service providers to process, transmit, and store it as needed to deliver requested responses, tools, history, sharing, support, and account operations described in our policies. You must have the rights needed to provide that material.
We do not claim ownership of your input or output. Outputs may not be unique, accurate, legally protectable, or free of third-party rights; you are responsible for checking them before use. Winfield Research Corporation does not sell your content or use it to train models.
Optional tools may contact external services, execute code, and create persistent files. This deployment does not provide separately isolated computing for every account. Sharing a link or granting access can expose material to recipients. Do not submit secrets or rely on the service for strict zero-retention handling.
Prepaid credits and payments
Credits do not expire. Credit purchases are non-refundable except where required by law. Credits are service usage units, not a deposit, investment, interest-bearing balance, or cash entitlement. They are associated with your account and are not transferable without our approval.
Current usage rates are $0.90 per million input tokens and $2.90 per million output tokens, expressed in United States dollars (USD). Cached input uses the ordinary input rate. Thinking is billed as output. Conversation history, instructions, tool definitions, and tool results count as input when sent to the model; each model call in a tool workflow is metered. There is no monthly subscription required.
Requests reserve credit before execution and settle against actual measured usage, releasing unused reservations. Output length and execution can be constrained by available balance, context limits, provider limits, and infrastructure capacity. A stopped request can still incur charges for work already performed. Report a suspected metering error to support for review.
The minimum wallet top-up is $1. Payment and network fees may apply. Account credit is the verified net amount received after payment fees, not necessarily the gross amount authorized in your wallet. For example, a $1 payment with a $0.015 payment fee adds $0.985 in usable credit. Review the asset, network, receiver, and fees in checkout before authorizing a transfer.
Credit is added only after payment verification. Wallet confirmation, blockchain availability, and callback delivery can delay crediting; there is no fixed completion-time promise. Blockchain transactions cannot generally be reversed. A transfer to the wrong address, asset, or network may be unrecoverable; do not assume an unsolicited transfer will be credited.
Administrator approval is required before purchasing credits through any payment method. Pending accounts may view their balance and payment history, but cannot start checkout. Contact [email protected] for payment or legally required refund requests. Do not send wallet recovery phrases or private keys. We will address billing errors and mandatory refund rights under applicable law. Closure or suspension does not extinguish a refund or other remedy required by law. Any applicable taxes or separate fees must be disclosed as required before a purchase; no undisclosed tax is added to the published usage rates.
Service limitations
AI can produce incorrect, incomplete, offensive, or unsuitable material. Review important information and generated code, and do not rely on the service as a substitute for qualified professional judgment or emergency assistance. Reduced refusal behavior is not a guarantee of capability or safe execution.
Availability, response times, output length, tool behavior, and features can vary. We do not promise uninterrupted service, a specific performance level, strict zero retention, end-to-end encryption, or a dedicated execution environment. Third-party systems may impose their own terms and limitations.
To the extent permitted by applicable law, the service is provided "as is" and "as available", without a contractual guarantee of accuracy, fitness for a particular purpose, or non-infringement. We are not responsible for losses arising solely from your unlawful or unauthorized use, independent third-party actions, or reliance on unverified generated content, to the extent permitted by law. These provisions do not exclude liability, statutory warranties, or consumer remedies that cannot lawfully be excluded.
Changes, suspension, and closure
We may update models, features, and prices. We will disclose updated rates before new usage is charged at those rates and provide additional notice where required. Price changes do not retroactively reprice settled usage, and the no-expiry policy applies to credits purchased under these terms unless you agree to a lawful change.
You can stop using the service and request account closure through support. We may suspend or close access for a breach, legal requirement, security issue, or product discontinuation. Where practicable, we will explain material changes or closure arrangements. Rights concerning prepaid purchases and mandatory remedies remain subject to applicable law, not simply forfeited by a website update.
We will date updates to these terms and give additional notice or obtain agreement where required. Updated terms do not retroactively eliminate accrued rights.
Law, disputes, and contact
These terms are governed by the laws of Ontario and the federal laws of Canada applicable there. Subject to mandatory consumer protections and any non-waivable right to a different forum, disputes may be brought in the courts in Toronto, Ontario. These terms do not require arbitration or waive a class proceeding or other remedy protected by law.
